  • Outlook CPO yang masih positif, earnings recovery pasca rights issue tahun lalu untuk menghapus utang dan akuisisi anak usaha domba Mas yang menambah nilai kinerja serta valuasi PER/PBV yang jauh lebih rendah dari sektornya dapat mendorong technical rebound di atas price gap Rp 435.

Royal Oak Akuisisi 7 Perusahaan Rp 512 Miliar

PT Royal Oak Development Tbk (RODA) mengakui telah menandatangani perjanjian pendahuluan jual beli atas saham tujuh perusahaan atau akuisisi senilai Rp 512 miliar.
"Kami sudah anggarkan beberapa proyek akuisisi. Tujuh diantaranya sudah ada kesepakatan dengan nilai mencapai Rp512 miliar," kata Financial Advisor RODA, Andreas Tjendana, di Jakarta.

Perusahaan yang diakuisisi RODA yakni PT Multi Pratama Gemilang, PT Tiara Sakti Mandiri, PT Fortuna Cahaya Cemerlang, PT Bangun Megah Pratama, PT Simpruk Arteri Realty, PT Indo Prakasa, PT Lumbung Mas Sejahtera.

Ia menambahkan, perusahaan juga tengah membidik tiga perusahaan properti untuk diakuisisi hingga akhir 2011. "Sampai akhir 2011, kita sedang membidik untuk mengakuisisi dua sampai tiga perusahaan properti. Sekarang masih dalam tahap negosiasi. Jadi hingga akhir 2011, bisa dibilang kita akan melakukan akuisisi terhadap kurang lebih 10 perusahaan properti," ujarnya.

Ia mengatakan, dana akuisisi itu berasal dari pinjaman perbankan dan pelepasan saham anak usaha (divestasi) RODA sebesar 99,86 persen saham di bidang keuangan PT Transpacific Mutual Capita (TMC) kepada PT Swadayanusa Kencana Raharja. "Dana akuisisi dari pelepasan saham anak usaha dan mungkin juga dari perbankan," ujarnya.

Direktur Utama RODA Subianto Satmaka menambahkan, divestasi saham anak usaha itu senilai Rp 730 miliar atau setara dengan 799,09 juta saham yang telah disetujui kedua pihak setelah ditandatanganinya Nota Kesepahaman pada 16 Mei 2011. "Dari proses divestasi, kami dapat dana Rp 730 miliar untuk pelepasan 799,09 lembar saham. Itu setara dengan 99,86 persen kepemilikan TMC. Dana ini akan kami gunakan untuk langkah akuisisi," ujarnya.

Ia mengatakan, proses divestasi dan akuisisi itu tengah menunggu persetujuan dari Rapat Umum Pemegang Saham (RUPS) yang akan digelar dalam waktu dekat. "Rencana pelepasan saham ini dilakukan untuk restrukturisasi anak usahanya terkait rencana perusahaan untuk fokus pada bidang properti saja. Kita tinggal mendapatkan persetujuan RUPS," katanya.

Ia mengatakan, langkah divestasi ini dipandang tepat karena dengan melepaskan investasi di TMC, perseroan dapat lebih berkonsentrasi investasi pada sektor properti yang sebenarnya merupakan bisnis inti perusahaan. "Bidang properti memiliki prospek yang menjanjikan seiring dengan pertumbuhan ekonomi Indonesia dan memenuhi kebutuhan investasi dan saran hunian perkotaan yang berkualitas bagi masyarakat umum," kata dia.

Bumitama to raise about $150 mln in S'pore IPO

* HSBC, DBS pre-marketing the IPO despite weak mkt sentiment
* Bumitama has alliance with IOI, aims to double planted acreage 

Indonesia's Bumitama Gunajaya Agro (BGA) is targeting a Singapore listing in the third quarter to raise around $150 million, in a bet that investor appetite for resources will hold up despite the overall weak market, sources said on Friday. 

"HSBC and DBS are currently pre-marketing the approximately $150 million IPO for BGA palm oil plantation on the Singapore Exchange. Management roadshows are expected to commence in early July," a source familiar with the deal told Reuters. The source did not want to be named because the information has not been made public. 

Two other sources said DBS will speak to some of its traders and potential investors later on Friday in Singapore, while HSBC has planned meetings in Hong Kong next week and London the week after. 

HSBC and DBS declined to comment.
It was not immediately clear if BGA will list all its operations in the IPO. BGA owns palm oil plantations and processes the fresh palm fruit into crude palm oil and palm kernel for sale in Indonesia. 

According to BGA group's website (www.bumitama.com), the group has operations in Kalimantan and Riau with a planted area of about 95,800 hectares.

Bumi Q1 net profit up 16.5 pct on higher coal price

Bumi Resources, Asia's biggest thermal coal exporter, said on Friday its first-quarter 2011 net profit rose 16.5 percent as higher coal prices made up for lower output.

Bumi, controlled by the politically-connected Bakrie family and part-owned by Nathaniel Rothschild's mining investment vehicle Vallar , said its first-quarter net profit rose to $113 million from $97 million a year ago, based on Indonesian accounting principles that were meant to end in 2010.

First-quarter revenue grew 21 percent to $1.23 billion, compared with revenue of $1.02 billion in the year-ago period, said Dileep Srivastava, a Bumi director, in an emailed statement.

Analysts forecast Bumi's 2011 net profit to reach $498 million, according to Thomson Reuters I/B/E/S.

Strong demand from Asian economies including India, Japan and China has lifted the price Bumi gets for its coal for power stations, but production fell in the first quarter due to heavy rainfall near its main mines in Kalimantan.

Bumi expects to produce 67 million tonnes of coal this year, up about 10 percent from 2010.

Chandra Asri Tunda Rights Issue

Manajemen PT Chandra Asri Petrochemical Tbk (TPIA) menunda pelaksanaan rights issue karena kondisi pasar saat ini yang tidak menentu. Manajemen akan terus mempertimbangkan kesempatan yang tepat untuk masuk ke pasar modal.

Per 31 Maret 2011, CAP memiliki ketersediaan dana US$ 126 juta, sehingga dengan posisi keuangan yang kuat itu dan perkiraan arus kas dari kegiatan operasional, manajemen yakin terhadap kemampuan perusahaan untuk membiayai sendiri komitmen atas belanja modal, termasuk untuk pembangunan pabrik ekstraksi baru untuk butadiene dan butene-1.

Rekomendasi Beberapa Sekuritas, 17 Juni 2011

Berikut rekomendasi beberapa sekuritas untuk perdagangan Jumat, 17 Juni 2011.
1. E-Trading Securities
IHSG kemarin terpangkas 53 poin (-1,42%) ke level 3.740. Secara teknikal, IHSG bergerak melemah dengan break dari garis support MA 60, sementara indikator Stochastic dan RSI kembali bergerak downtrend. Hari ini indeks cenderung melemah di kisaran 3.697–3.776. Perhatikan ASII dan BBNI. 

2. Trimegah Securities
Dengan tetap mencermati dampak sentimen negatif dari Eropa dan Amerika Serikat serta minimnya sentimen positif domestik, indeks hari ini masih cenderung moderat pada kisaran 3.730-3.805. Sell on strength SMGR, EXCL, ISAT. 

3. Indopremier Securities
Selama keputusan mengenai bailout utang Yunani belum dirilis, sulit bagi bursa saham untuk naik. Oleh karena itu, cermati emiten yang terkait dengan konsumsi domestik, yakni bank, semen, properti, consumer goods. Pergerakan indeks hari ini berada di 3.725-3825. Saham pilihan ketika harga turun adalah BMRI, BBRI, ASII, UNTR, KLBF, INDF.

4. Sinarmas Sekuritas
Pada perdagangan Jumat (17/6), secara teknikal, indeks cenderung bergerak melemah pada kisaran 3.710-3.783. Pergerakan bursa regional yang dipengaruhi krisis utang Eropa masih akan memberikan sentimen terhadap IHSG. Saham-saham yang dapat diperhatikan SMGR, ISAT, INCO, TLKM

Asahi Flat Glass Beli 60 Hektare Tanah

PT Asahi Flat Glass Tbk (AMFG) membeli tanah seluas 60 hektare di Cikampek, Kabupaten Karawang, Jawa Barat senilai Rp 69,5 miliar. Tanah tersebut dibeli dari PT Bumi Pusaka Prima Perintis yang ditandatangani akta jual belinya pada 13 Juni 2011. Penjual dan pemilik tanah tersebut tidak memiliki hubungan afiliasi apapun dengan AMFG.

Tjiwi Kimia Akuisisi 40% Saham Inhutani I

PT Pabrik Kertas Tjiwi Kimia Tbk (TKIM) mengakuisisi 40% saham PT Eksploitasi dan Industri Hutan I (PT Inhutani I). Sebelumnya, sejak 2009, perseroan telah memiliki 60% saham Inhutani I.

Pembelian saham tersebut ditandatangani pada 13 Juni 2011. Nilai pembelian adalah Rp 14,75 miliar.

GDF Suez: JV To Develop 3rd Geothermal Project In Indonesia

French power group GDF Suez SA (GSZ.FR) Wednesday said it entered a joint venture along with Marubeni Corporation (8002.TO) and Supreme Energy for the development of the Rantau Dedap geothermal project located in the South Sumatra province. 

MAIN FACTS:
- The agreement follows the appointment of Supreme Energy as winner of the concession tender and the award of the geothermal mining license to PT Supreme Energy Rantau Dedap, the company charged with further development of the project. 

- Supreme Energy and IPR-GDF SUEZ were joined by Marubeni Corporation to constitute a partnership bringing to the geothermal sector in Indonesia an unmatched combination of technical skills, geothermal expertise and IPP development and operation experience in Indonesia and worldwide. 

- Supreme Energy Rantau Dedap will negotiate the Power Purchase Agreement (PPA) with PT. Perusahaan Listrik Negara for the sales of the electricity from the geothermal resource before starting exploration activities and the development of the power generation plant upon successful exploration. 

- The targeted 220 MW geothermal power plant in the Rantau Dedap area is part of the Indonesian government's second 10,000 MW accelerated electricity development program. It will contribute to meeting the rising need for electricity in the country, using renewable energy resources.

Pertamina plans upstream buys this year

Indonesia's state energy firm Pertamina aims to buy overseas oil and gas assets to meet ambitious 2015 output targets and is in talks with ExxonMobil (XOM.N) over an Angolan block.

Pertamina CEO Karen Agustiawan said she expected to sign deals for overseas blocks this year, with funding not a problem to compete with other energy hungry Asian countries seeking assets from Southeast Asia to Africa to ensure supply security.

"When there is sugar, all ants will come," Agustiawan said in an interview for the Reuters Energy and Climate Summit. "Finance is the least problem that we have. It is more toward is there the opportunity, and how sweet is the opportunity, and how small is the risk."

Pertamina raised $1.5 billion from issuing a global bond last month, which could go toward funding a deal for ExxonMobil's 25 percent stake in an Angolan oil block slated to produce around 150,000 barrels per day (bpd) from next year.

"We are in a definitive discussion," said Agustiawan, who started her 27-year career in the industry with Mobil Oil.

The company is also eyeing stakes in 10 oil and gas blocks in countries such as Iraq, Libya, Algeria, Brazil and Vietnam, as it seeks to boost its oil and gas output from 440,000 boepd now to one million by 2015.

"By optimizing what we have domestically, the gap will be about 160,000 boepd," she said. "There is some progress. There will be some signing this year."

Agustiawan said further capital raising to fund its plans could come from listing subsidiaries in the first half of 2011, to tap strong portfolio investor interest in a country on the verge of an investment grade sovereign rating.

The former OPEC member has struggled to attract new direct investment to increase energy production, given policy uncertainty and corruption, leading to declining output at aging fields that has derailed plans to reach output targets.

Indonesia expected to produce 970,000 bpd of oil in total this year, but its energy watchdog said last month that realistically production would be no more than 945,000 bpd.
Agustiawan identified the need for agreement between central and regional governments together with investors and local communities, plus problems in land acquisition and infrastructure development, as hurdles that often led to slow progress on developing resources.

Pertamina's domestic output will be boosted by the ExxonMobil-led Cepu block, in which it owns a 45 percent stake, but Agustiawan said peak production of 165,000 bpd is not expected until the fourth quarter of 2014, delayed from previous expectations of end-2013 or early 2014.

She added Pertamina and ExxonMobil were in talks on how to develop the block's gas given surging domestic industry demand.

GROWING DEMAND
Agustiawan said demand for fuel would keep growing along with growth seen at over six percent in Southeast Asia's largest economy, though she expressed confidence the country could keep meeting export commitments for liquefied natural gas (LNG).

Yet the world's No. 3 LNG supplier is only expected to export 362 cargoes this year, down from 427 last year, and is building several import terminals. It still lacks 1.5 million tonnes a year for a Jakarta receiving terminal from next year.

"We are talking to several suppliers. We are talking to Qatar and Australia," said Agustiawan, a tough talking mother of three who gets up at 4 a.m. daily to run on a treadmill.

The country's dilapidated refineries mean it is also Asia's biggest gasoline importer, and shipments are likely to grow as car sales are hitting record levels. A slew of agreements have been signed with Middle East producers in recent years to build refineries, but work has not started on any new plants.

Agustiawan admitted no new refinery was likely to come onstream in the next five years give the building time lag, and said refining margins were marginal, but was hopeful she would sign a final deal with Kuwait Petroleum Corp (KPC) this year for a refinery of up to 300,000 bpd on the main Java island.

Lawmakers have pushed back plans to wean motorists off cheap subsidized fuel, but Agustiawan did not see the lack of market prices as a limiting factor for refinery investment.
